1. Definitions

"Company", "we", "us" refers to Prasangi Exports And Imports Private Limited (CIN: U46900AP2025PTC119509), having its registered office at 1-73, Main Road, Chandaparru, Palakol, West Godavari, Andhra Pradesh, India 534260. "Buyer" / "Client" means the party purchasing goods or services from the Company. "Goods" means any product offered for sale or supplied by the Company.

2. Quotations & Orders

All quotations are valid for 7 days from issue unless otherwise stated. Prices are quoted in USD or INR and exclude taxes, duties and statutory levies at the destination unless explicitly stated as DDP. An order is binding only after written Proforma Invoice acceptance and receipt of agreed advance or LC confirmation.

3. Payment Terms

Accepted modes: Irrevocable LC at sight, T/T (30% advance + 70% against scanned BL), CAD, or DA/DP terms for approved buyers. All bank charges outside India are borne by the buyer. Delayed payment beyond agreed terms attracts interest at 18% p.a. or the maximum permitted under applicable law, whichever is lower.

4. Incoterms & Delivery

All shipments are governed by Incoterms® 2020 as specified on the Proforma Invoice (typically FOB, CFR, CIF, or DDP). Risk passes to the buyer in accordance with the chosen Incoterm. Delivery dates are estimates; the Company is not liable for delays caused by force majeure, port congestion, vessel rollovers or carrier action.

5. Quality, Inspection & Claims

Goods conform to the specifications agreed in writing. The buyer may appoint a third-party inspection agency (SGS, Bureau Veritas, Intertek) at the buyer's cost. Quality and quantity claims must be notified in writing within 14 days of arrival at the destination port, accompanied by independent survey reports and photographs. Claims raised after this period are not entertained.

6. Documentation

Standard document set: Commercial Invoice, Packing List, BL/AWB, Certificate of Origin, Phytosanitary, Fumigation, and Health Certificates as applicable. Document amendments after issuance are charged at actuals.

7. Title & Risk

Title to the Goods passes to the buyer only upon full payment of the invoice value. Until then, the Company retains a security interest in the Goods.

8. Force Majeure

Neither party is liable for non-performance caused by acts of God, war, civil unrest, pandemic, port strikes, government action, export bans, or any event beyond reasonable control. The affected party shall notify the other within 7 days.

9. Limitation of Liability

The Company's total liability under any contract shall not exceed the invoice value of the affected consignment. Indirect, consequential, or punitive damages are excluded.

10. Governing Law & Jurisdiction

These terms are governed by the laws of India. Disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat at Vijayawada, Andhra Pradesh. Subject to arbitration, courts at Vijayawada have exclusive jurisdiction.
